PARTIES
This User Agreement ("Agreement") is entered into between:

(hereinafter referred to as "QuickPDA")
and
The natural or legal person who registers on the QuickPDA Platform electronically
(hereinafter referred to as the "User").
This Agreement becomes effective upon the User's electronic acceptance.
DEFINITIONS
- Platform: The QuickPDA website, SaaS applications and all related subdomains
- Service: PDA calculations, port information services, reporting, analysis and related digital services
- User: Any natural or legal person registered on the Platform
- PDA: Port Disbursement Account
SUBJECT OF THE AGREEMENT
This Agreement governs the terms and conditions under which the User may access and use the maritime-focused SaaS services provided by QuickPDA.
SCOPE OF SERVICES
QuickPDA provides, including but not limited to:
- Port Disbursement Account (PDA) calculations
- Port and service information
- Digital reports and PDF exports
- Cost analysis and operational support tools
QuickPDA reserves the right to modify or enhance the scope of its services.
USER REGISTRATION & ACCOUNT SECURITY
- The User is responsible for the accuracy of the information provided during registration.
- Account credentials must not be shared with third parties.
- All activities conducted through the User's account are the User's sole responsibility.
SUBSCRIPTION, FEES AND PAYMENT
- QuickPDA services are provided on a subscription basis.
- Subscription plans and fees are published on the Platform.
- Payments are processed through third-party payment service providers.
- QuickPDA does not store credit or debit card information.
INVOICING AND REFUNDS
- Invoices are issued electronically.
- No refunds shall be granted for used subscription periods unless expressly stated otherwise.
- QuickPDA reserves the right to amend its refund policy.
USER OBLIGATIONS
The User agrees to:
- Use the Platform in compliance with applicable laws and regulations,
- Refrain from any misleading, unlawful or anti-competitive conduct,
- Avoid any activity that may compromise the security or integrity of the Platform.
PROHIBITED USES
The User shall not:
- Copy, modify, reverse engineer or decompile the Platform,
- Resell, sublicense or transfer access to the Services,
- Use the Platform in a manner that may distort competition.
INTELLECTUAL PROPERTY RIGHTS
- All software, algorithms, interfaces, designs and content on the Platform are the exclusive intellectual property of QuickPDA.
- The User is granted a limited, non-exclusive right of use only.
CONFIDENTIALITY & COMPETITION LAW COMPLIANCE (Protection of Special PDA Prices and Commercial Data)
Definition of Confidential Information
All special prices, negotiated rates, discounts, contract-based tariffs, commercial conditions and cost data entered by the User into the Platform for PDA calculations constitute confidential commercial information and trade secrets.
Confidentiality Undertaking
QuickPDA expressly undertakes that:
- Such data shall never be shared with any other user,
- Such data shall not be sold, monetized or commercially exploited, even if anonymized,
- Such data shall not be used for benchmarking, comparison or market analysis purposes.
Competition Law Compliance
QuickPDA operates in full compliance with Law No. 4054 on the Protection of Competition and applicable international competition law principles.
QuickPDA does not facilitate, directly or indirectly, any exchange of pricing or commercial strategy information between competing users.
PDA CALCULATIONS & DISCLAIMER
All calculations provided on the Platform:
- Are for informational and operational support purposes only,
- Are prepared based on available tariff data and realistic assumptions.
Final port disbursement accounts and official invoices may differ. QuickPDA shall not be held liable for such differences.
LIMITATION OF LIABILITY
QuickPDA shall not be liable for:
- Indirect or consequential damages,
- Loss of profit,
- Operational delays or business interruptions.
SUSPENSION AND TERMINATION
QuickPDA may suspend or terminate the User's account in the event of breach of this Agreement or misuse of the Platform.
FORCE MAJEURE
Neither party shall be liable for failure to perform obligations due to events beyond their reasonable control.
AMENDMENTS
QuickPDA reserves the right to amend this Agreement. Amendments become effective upon publication on the Platform.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by the laws of the Republic of Türkiye. The courts and enforcement offices of İzmir shall have exclusive jurisdiction.
EFFECTIVE DATE
By registering on the Platform, the User confirms that they have read, understood and accepted this Agreement.
